Microsoft Office Marketplace Terms of Listing Contract

This Microsoft Office Marketplace Terms of Listing contract (the "contract") is entered into by and between you (in the signature block below) and the Microsoft company listed in section 10 of this contract.
You are applying to Microsoft to post information (a "listing") about your web site, products or services ("products") on the Microsoft Office Marketplace Web site or Office Web sites located within the Microsoft.com domain and its successors (collectively, the "Office Marketplace"). This contract applies to your application. If we accept your application, this contract also applies to your listing on the Office Marketplace.
Please read this contract carefully. If you agree to its terms, enter your name in the signature box at the end. If you do not agree with them, do not sign the contract and do not submit your application to Microsoft.
Your Obligations.
Jump Page.
You have submitted a live web page from your company s Web site that describes your products (the "jump page"). The jump page must
describe your product,
include the product name,
work with Internet Explorer version 5.0 or later,
include your customer support information,
include product pricing and use instructions,
comply with the Microsoft referential trademark use guidelines in section 1 (d) of this contract, and
include the Find Us @ Microsoft Office Marketplace logo or other logo that we provide (the "logo").
The jump page must not contain illegal or unsuitable content. The "back button" in the user's browser and the logo must return the user to the Office Marketplace.
License Grant.
You grant to Microsoft during the term of this contract a worldwide right to copy, modify, distribute, transmit and publicly display the listing, including the right to sublicense these rights, to
display the listing on the Office Marketplace,
promote your product as part of Office Marketplace in print and any other media, and
promote your product within all Office-branded products.
You agree that Microsoft may edit the listing for style, tone, grammar and length and to correct any mistakes.
Use of the Logo.
Use of Logo with Application. You may use the logo on the jump page as part of your application to post a listing on the Office Marketplace. Your use of the logo on your application must comply with this contract. You may not promote the URL of the jump page displaying the logo until you receive written confirmation from Microsoft that we have approved your application. If we do not approve your application for a listing on the Office Marketplace, you must remove the logo from the jump page.
Use of Logo. You must use the logo in the form that we provide it to you. You may only display the logo on the jump page as an active link back to http://office.microsoft.com/marketplace. The logo must appear by itself with minimum spacing between each side of the logo and any other graphics or text on the jump page. The minimum spacing around it should equal the height of the logo. The logo must be visible in an 800 x 600 screen resolution, without requiring the user to scroll. Your company Web page title, trademarks and logos must appear more prominent than the Microsoft logo. You agree to promptly correct any improper use of the logo.
Quality. You must maintain the quality of the products you offer in relation to the logo at a level equal to or better than the quality of the products you offered before you submitted your application for a listing on the Office Marketplace. The quality of your products also must meet or exceed standards of quality and performance generally accepted in the industry.
Trademark Notice. You must display the following notice as text at the bottom of the jump page:
"Microsoft and the Office logo are trademarks or registered trademarks of Microsoft Corporation in the United States and/or other countries."
Use Limitations. You may not alter, animate or distort the logo, except to change its size. Changing its size does not include changing its proportions. You may not combine the logo with any other symbols, words, images or design elements. You may not display the logo so that implies a relationship with Microsoft other than the listing of your products on the Office Marketplace.
Termination. Microsoft may terminate your right to use the logo at any time by giving you written notice. You must promptly remove the logo from the jump page.
Ownership. You acknowledge that Microsoft retains all right, title and interest in and to the logo. Microsoft reserves all rights not expressly granted. You will not do anything inconsistent with its ownership during or after the term of this contract. All goodwill arising from your use of the logo will inure to Microsoft s benefit. Microsoft gives you permission to use the logo only on your jump page in accordance with the terms of this contract. No other license to Microsoft trademarks or logos is granted or implied by this contract.
Referential Use of Microsoft Trademarks.
You may use our corporate name, technology names and trademarks in plain text to refer to Microsoft and its technology and services. This right does not include the right to use our logos, trade dress, designs or word marks in stylized form. Your use of our trademarks must be accurate. Your use cannot be likely to cause confusion about the source of your products and services or your relationship with Microsoft.
Modifying Your Listing.
You may request modifications to your listing by sending an email to omp1033@microsoft.com. Microsoft will use reasonable efforts to make the changes to the listing within 30 days of receiving your written request.
Product Requirements.
Your products must be complementary to the Microsoft Office system. Your products must operate with the latest version of the applicable product within the Microsoft Office system within six months of the launch of such version. You will be responsible for all billing and customer support for your products.
Customer Rating.
You can request customer rating data about your product by sending an e-mail to omp1033@microsoft.com. You agree that you will not rate your own products on the Office Marketplace.
Compliance.
You and your products must comply with all applicable laws, rules and regulations, including, without limitation, data protection laws, privacy laws, email and fax marketing laws. At Microsoft s request, you agree to conduct an internal audit to evaluate your compliance with applicable laws. You agree to share the results of the audit with Microsoft.
No Microsoft Obligations.
You understand that Microsoft is not obligated to accept your application or display your listing. We may remove your listing at any time for any reason. We do not promise any amount of traffic to your listing or your products. We may display your listing in any order or arrangement on the Office Marketplace. You agree that Microsoft may display listings for products that are similar or competitive to your products. Nothing in this contract should be construed as limiting Microsoft s right, or the right of others on Microsoft s behalf, to acquire, develop or distribute products and services that are similar to your products.
How Microsoft may change this contract.
We reserve the right to change this contract at any time without notice. If we make a material change to this contract, we will notify you at the email address you provided in the listing application. If you do not cancel your listing within 10 days after we send the notice, you will be deemed to agree to the changes and the amended contract.
Term and Termination.
Term. The term of this contract is one year from the date we accept your application or one year from the date of any modifications to your listing pursuant to section 1 (e) of this contract, whichever occurs later. You must renew your listing prior to expiration of the one year term. We will send an email to you before expiration of the term with instructions for renewing your listing. If you don t renew your listing, we will remove your listing from the Office Marketplace and you must promptly remove the logo from your jump page and disable the links to the Office Marketplace.
Termination by You. You may terminate your listing by sending written notice to omp1033@microsoft.com. You must remove the logo from your jump page and disable the links from your jump page to the Office Marketplace when you send the notice. We will remove your listing from the Office Marketplace within 30 days of receiving your written notice.
Termination by Microsoft. Microsoft may terminate this contract or remove your listing from the Office Marketplace at any time for any reason. Upon receipt of written notice of termination from Microsoft, you must promptly remove the logo and disable the links from your jump page to the Office Marketplace.
Survival. Sections 4 (d), 4 (e), 5, 6, 7, 8, 9 and 10 of this contract will survive its termination for any reason.
Waiver of rights and obligations. To the extent necessary to implement the termination of this contract, each party waives any right and obligation under any applicable law or regulation to request or obtain intervention of the courts to terminate this contract.
Representations and Warranties.
You represent, warrant and covenant that
you have the right to enter into and perform this contract,
the information in your application is true, complete and current,
your products and the jump page do not violate any laws, rules and regulations, including, without limitation, copyright, patent, trademark and other intellectual property rights or proprietary rights, email and fax marketing laws, and privacy and data protection laws,
your products do not contain software viruses or any other computer codes, files or programs designed to interrupt, destroy or limit the use of any software or device,
your products will not defeat any security measures on any device,
you possess all licenses required to operate your business and distribute your products, and
your products are complementary to the Microsoft Office system.
Indemnification.
You agree to defend, indemnify and hold Microsoft and its affiliates, suppliers, resellers, successors, officers, directors and employees (the "Microsoft Parties") harmless from and against any and all claims, losses, liability costs and expenses (including attorneys'; fees) arising from your breach of the representations and warranties in section 5 of this contract and any other violation of this contract or any third party's rights.
No Warranty.
Microsoft provides the Office Marketplace and logo as-is, with all faults and as available. You bear the risk of using them. The Microsoft Parties give no express warranties, guarantees or conditions. You may have additional rights under your local laws that this contract cannot change. To the extent permitted by law, we exclude any implied warranties or conditions including those of merchantability, fitness for a particular purpose, workmanlike effort, non-infringement and satisfactory quality.
Limitation on and Exclusion of Remedies and Damages.
You can recover from the Microsoft Parties only direct damages up to the equivalent of U.S. $5.00. To the extent permitted by law, you cannot recover any other damages from the Microsoft Parties, including consequential, lost profits, special, indirect or incidental damages.
This limitation applies to
any matter related to the Office Marketplace and the logo, and
claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort to the extent permitted by applicable law.
It also applies even if
this remedy does not fully compensate you for any losses, or fails of its essential purpose, or
Microsoft knew or should have known about the possibility of the damages.
Some states and countries do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.
General
Publicity.
You will not issue any press release or other publicity related to your listing without Microsoft's written consent. To obtain consent, send a written request to omp1033@microsoft.com. At its discretion, Microsoft may include your name, product or other information in any press release or marketing activities.
Relationship.
Nothing in this contract will be construed as creating joint venture, partnership, employment or agency relationship between Microsoft and you
No Assignment.
You may not assign this contract without written consent from Microsoft. Any attempt to assign it without Microsoft s consent will be void.
Contract Interpretation.
If any section of this contract is held to be unenforceable, it should be replaced by an enforceable section that matches the intent of the original section as closely as possible. The rest of the contract will continue in full force and effect. Except as expressly stated in this contract, it is the entire contract between Microsoft and you with respect to its subject matter. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Microsoft.
Microsoft Company, Applicable Law and Place for Resolving Disputes. This contract is between you and the Microsoft company for your country or region. In the left column of the chart below, find the country or region where your business is headquartered. In the middle column, you will find the Microsoft company that is contracting with you. In the right column, you will find the choice of law and the location for resolving disputes with Microsoft.

If you agree to this contract, type your name below. By doing so, you agree to be bound by this contract. If you do not agree to it, do not sign your name. You will not be able to submit your application.
